Agreen Mobile App – Consent to Use the Application

1. Purpose of the Application

The Agreen Application helps farmers participate in sustainable agriculture activities, including the Alternate Wetting and Drying (AWD) Method Project, and supports field monitoring, data collection, and program communications.

2. Eligibility to Use

I confirm that I am at least 18 years of age. I confirm that I am a participating farmer or an authorized user, and that I own, lease, or hold lawful operational control over the agricultural plots registered in this Application and possess the legal authority to implement project practices on these lands. I will use the application only for its intended purpose and as guided by Green Carbon and its partners.

3. Data Collection and Licensing

I understand that the application will collect various types of information, including but not limited to:

I understand that the Camera is used to take photos of my fields, water pipes, and farming activities. These photos serve as evidence that the project meets its data collection and verification requirements, which must be satisfied for the project to be eligible to generate carbon credits.

I grant Green Carbon Inc. an exclusive, perpetual, irrevocable, royalty-free license to use, analyze, aggregate, and commercialize all agronomic, photographic, and environmental data. Personal data will be processed and retained in accordance with applicable data protection laws and the Company’s Privacy Policy.

4. Carbon Credit Title and Rights

I understand that the application supports activities that may generate Carbon Credits. Unless otherwise expressly provided in a separate written project agreement between me and Green Carbon Inc., any and all Carbon Credits or greenhouse gas reductions generated belong entirely to Green Carbon Inc. I agree not to register, claim, transfer, or sell the emissions reductions generated from my registered plots through any other third-party system, registry, or standard.

5. Data Rights and Cross-Border Transfer

I agree that Green Carbon may use my data in any way necessary for project reporting, analysis, monitoring, certification, and other official or future project-related activities.

I understand that:

  1. I will not receive any payment, compensation, or ownership rights over the data I provide.
  2. Green Carbon may continue to use any data I submit, even if I stop using the application or withdraw from the project.
  3. Green Carbon may share my data with trusted project partners (such as local universities, technical experts, or certification bodies) as needed to support or verify project activities.
  4. I consent to the transfer, storage, and processing of my data outside of my country of residence, including on servers located in Japan.

6. User Responsibilities

I agree to:

  1. Use the application for project purposes only
  2. Provide accurate and truthful information
  3. Share photos and updates as requested
  4. Keep my login or access information secure

7. Updates, Notifications, and Amendments

I allow Green Carbon to contact me through the Application, SMS, or email with important messages, updates, or instructions related to the application or the AWD Project.

If Green Carbon makes any changes (amendments) to the application’s terms, policies, or the terms of this consent form, I understand that a new checkbox will appear on the application for me to review and agree to the updated terms. I will be required to tick the box to confirm my acceptance of the changes in order to continue using the application.

8. Withdrawal and Data Retention

I can stop using the application at any time. I hold the right to request the deletion or withdrawal of my personal identifying information (such as my name, contact information, and login credentials) by emailing Green Carbon directly at agreendev@green-carbon.inc or by using the ‘Contact Green Carbon Office’ option located in the Support section of the Application. Upon receiving a verified request, Green Carbon will delete or anonymize my personal identifiers within 30 days. However, all agronomic data, GPS coordinates, field photos, and project records submitted through the application will remain available to Green Carbon and will be permanently retained for a minimum of 15 years after the end of the project’s crediting period to comply with international carbon standard audits, Measurement, Reporting, and Verification (MRV), and regulatory requirements—even after I stop using the application or the project ends.

9. Indemnity Clause

  1. I agree to hold Green Carbon harmless for any claims, losses, or issues arising from my incorrect or unauthorized use of the application or the data I submit.
  2. The Application is provided on an ‘AS IS’ and ‘AS AVAILABLE’ basis. Green Carbon is not liable for indirect, incidental, or consequential damages, including loss of crop yield, farming delays, device malfunctions, or data errors.

10. Program Changes or Termination

Green Carbon may modify, update, or discontinue the application or any of its features at any time.

I understand that using the application or participating in related programs does not guarantee permanent access, ongoing benefits, or future services.

11. Use of Anonymized or Aggregated Data

I agree that Green Carbon may use my data in anonymized or combined form for analysis, reporting, scientific studies, or climate-related improvements without identifying me personally.

12. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of Japan, regardless of the country in which project activities are conducted. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the Tokyo District Court, Japan, as the court of first instance.

13. Language and Understanding Confirmation

I confirm that this consent was presented to me in a language I understand.
